PREMIUM TICKET TERMS AND CONDITIONS – HILL DICKINSON STADIUM

These terms and conditions (these “Terms”) set out the terms that apply to the purchase and use of Ticket(s) and provide information

about the Club.

These Terms, the Club’s privacy policy (https://www.evertonfc.com/content/privacy/efc-privacy-policy), the Ground Regulations, the

Club’s website terms of use (https://www.evertonfc.com/content/terms-and-conditions) (together this “Agreement”) constitute the

contract between the Purchaser and ESDHCL for the purchase and use of Ticket(s).

By purchasing Ticket(s), the Purchaser: (i) confirms that they have read, understood and accepted this Agreement; (ii) agrees to be

bound by, and comply with, this Agreement; and (iii) agrees to bring the terms of this Agreement to the attention of their Guest(s), as

required below.

Any use of Ticket(s) by a Purchaser and/or their Guest(s) is strictly in accordance with the terms of this Agreement. By entering the

Stadium, a Purchaser and/or Guest confirms that they have read, understood and accepted the terms of this Agreement and agree

to be bound by and comply with them.

Tickets are sold by ESDHCL, which is a group company of the Club. From time to time, to ensure the efficient operation of this

Agreement, the obligations on ESDHCL under this Agreement may be performed by the Club and vice versa.

1 DEFINITIONS

1.1 The following terms used in these Terms have the following meanings (unless inconsistent with the context):

“Adult” means a person aged 18 years or over on 1 August 2025;

“Catering Supplier” means Aramark Limited or such other catering supplier appointed by the Club and/or ESDHCL from time to

time;

“Club” means Everton Football Club Company Limited, registered in England with company number 00036624, having its registered

office at Goodison Park, Goodison Road, Liverpool L4 4EL;

“Coronavirus” means the disease known as coronavirus disease (COVID-19) and the virus known as severe acute respiratory

syndrome coronavirus 2 (SARS-CoV-2) or any variant thereof;

“Coronavirus Event” means any event, delay or circumstances caused by, or arising from or in relation to, a Coronavirus epidemic

or pandemic that prevents or delays completion of the performance of any of ESDHCL’s obligations under this Agreement, including

(but not limited to):

(a) any illness, quarantining, shielding or self-isolation (including, but not limited to, precautionary self-isolation) of any person(s)

where the decision to quarantine or self-isolate is reasonable or recommended or mandated by the Government;

(b) any recommended or mandatory measures or guidance introduced by local or national Government or other regulatory

bodies (including any Football Authority) intended to prevent or delay the spread of Coronavirus or mitigate the impact of such spread

including, for avoidance of doubt, any restrictions on the number of spectators who may attend the Stadium for a Match;

(c) any disruption of, interruption to or unavailability of any services, benefits or facilities offered as part of this Agreement;

“ESDHCL” means Everton Stadium Development Holding Company Limited, a group company of the Club, company registered in

England with company number 11727444 and registered office at the Goodison Park, Goodison Road, Liverpool, Merseyside L4

4EL;

“Everton Box Office” means the box office situated at the Stadium;

“Football Authority” means each of the Fédération Internationale de Football Association, the Union of European Football

Associations, the Football Association, the Premier League, the Football League and any other relevant football governing body,

league or organisation (or any replacement or successor thereto);

“Ground Regulations” means the ground regulations issued by ESDHCL from time to time that set out the terms and conditions

upon which the Ticketholder is granted entry to the Stadium, which can be found at https://www.evertonfc.com/tickets/usefulinformation/ground-regulations and on display at the Stadium, a copy of which may be provided upon request to the Everton Box

Office;

“Guest” has the meaning given to it in clause 6.3;

“Match” means each match to be played by the Club’s men’s first team at the Stadium;

“Material” means any audio, visual or audio-visual material or any information or data;

“Premium Facility” means the premium facility selected by the Purchaser to which the Ticket relates;

“Purchaser” means a purchaser of one or more Ticket(s) (or, if the Ticket(s) are taken out for another person, the person in whose

name such Ticket(s) are taken out);

“Stadium” means Hill Dickinson Stadium at Bramley Moore Dock or any temporary or replacement stadium or ground used by the

Club’s men’s first team to play its home league matches;

“Ticket” means a ticket issued by ESDHCL entitling a person to attend one particular Match in a Premium Facility;

“Ticketholder” shall mean the Purchaser, where the Ticket is purchased by the Purchaser and shall mean any Guest where the

Ticket is purchased by the Purchaser for any Guest; and

“Website” means https://www.seatunique.com/sport-tickets/football/everton-fc-tickets.

1.2 In these Terms:

1.2.1 the headings and sub-headings are for identification purposes only, and they do not affect the interpretation of these Terms;

and

1.2.2 the word “including” is illustrative and does not limit the sense of the words, description, phrase or term used unless the

interpretation is inconsistent with the context.

2 ISSUE OF TICKET(S) AND ELIGIBILITY

Purchase of Ticket(s)

2.1 The price for each Ticket shall be as set out on the Website or as otherwise notified by ESDHCL at the time of purchase. All prices

are inclusive of VAT.

2.2 When the Purchaser applies to purchase the Ticket(s), the Purchaser is offering to buy Ticket(s) at the fee stated in Section 2.1

which, if accepted by ESDHCL, will result in a binding contract. It is therefore important that the Purchaser reads and accepts this

Agreement before submitting their order and shall ensure that any Guest shall also read and accept this Agreement.

2.3 Where the Purchaser buys Ticket(s) online:

2.3.1 once the Purchaser has completed their order, they will be asked to confirm that it is correct. If it is not, the Purchaser can

amend or cancel the order before submitting it. It is the Purchaser's responsibility to ensure the order is correct before

submission. Payment will be taken when the Purchaser clicks the ‘confirm’ button (or equivalently marked button). This does

not mean that ESDHCL has accepted the Purchaser's offer, and the Purchaser will be refunded in the unlikely event that

ESDHCL refuses the offer;

2.3.2 ESDHCL will send a confirmation email to the Purchaser on receipt of the order. This is not an acceptance

of the Purchaser's offer, but an acknowledgement that ESDHCL has received the order and that the Everton Premium Team is

processing it; and

2.3.3 the contract between ESDHCL and the Purchaser will be formed when ESDHCL sends an email to the Purchaser confirming

that the order has been completed.

2.4 Whilst ESDHCL makes every effort to ensure that pricing and ticketing information provided on, but not limited to, the Website or

any other literature or by a sales representative is correct at all times, it is always possible that, despite our best efforts, some of the

Ticket(s) we sell may be incorrectly priced or described. If ESDHCL discovers an error in the price or nature of the

Ticket(s) the Purchaser has ordered, ESDHCL will try to inform the Purchaser as soon as possible, and give the Purchaser the

option of reconfirming the Purchaser’s order at the correct price/specification (and paying the difference in price to ESDHCL or

ESDHCL, if applicable), or cancelling it. If ESDHCL is unable to contact the Purchaser, it will unfortunately have to treat the order as

cancelled. If the order is cancelled, a full refund will be provided via the payment method used to purchase the Ticket.

2.5 Once purchased, the Purchaser is not entitled to cancel or change their Ticket(s) because the rights of cancellation under the

Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 do not apply to this

Agreement. However, each Purchaser has legal rights if ESDHCL does not comply with its obligations owed to them in this

Agreement with to provide services the Purchaser with reasonable care and skill. Advice about the Purchaser’s legal rights is

available from the local Citizens' Advice Bureau or Trading Standards Office. Nothing in these Terms will affect these legal rights.

2.6 All Tickets will be issued as digital tickets using such technology as ESDHCL may decide to use from time to time.

2.7 The Ticketholder may be required at any time whilst at the Stadium to hand over or present their Ticket for inspection by ESDHCL

and to prove that they are entitled to use the relevant Ticket in accordance with Section Error! Reference source not found.

2.8 To access the Stadium, a Ticketholder must present the Ticket at the turnstile reader as directed by the turnstile operator. Admission

will be refused to any person who attempts to use the same Ticket on more than one occasion at the same Match or use a Ticket

which has been cancelled.

2.9 ESDHCL may from time to time create images, audio footage and/or audio-visual footage which may show any

Ticketholder attending the Stadium. ESDHCL owns all rights in such images and footage and each Purchaser acknowledges (and

will ensure that any Guest acknowledges) that ESDHCL and its commercial partners shall be entitled to use the images and footage

for the purpose of: (i) promoting ESDHCL and its commercial partners; and (ii) any other commercial activity, provided such use

does not intentionally harm the reputation of the relevant individual whose image is used. Each Purchaser acknowledges (and will

ensure that any Guest acknowledges) that photographic images and/or audio, visual and/or audio-visual recordings and/or feeds

(and/or stills taken therefrom) may be used (by ESDHCL or by a third party, such as a law enforcement body) to identify

that person as an individual, where permitted by data protection laws, for the purposes of preventing or detecting crime, or any

breach of this Agreement.

2.10 Each Ticketholder agrees that the Matches for which Ticket(s) are used are public, and that their appearance and actions inside and

in the perimeter of the Stadium where a Match occurs are public in nature, and that they shall have no expectation of privacy with

regard to their actions or conduct at Matches.

2.11 Save as set out in Section 2.12 below, no Ticketholder shall capture, log, record, transmit, play, issue, show or otherwise

communicate (by digital or other means) any Material in relation to the Match, any players or other persons present in the Stadium,

nor may the Ticketholder bring into the Stadium or use within the Stadium (or provide to, facilitate or otherwise assist another person

to use within the Stadium) any equipment or technology which is capable of capturing, logging, recording, transmitting, playing,

issuing, showing or otherwise communicating (by digital or other means) any such Material. Any person acting in breach of

this provision may have such equipment or technology temporarily confiscated (until such time as the relevant Material is

permanently deleted) and/or will be required to deliver up any tapes, films, disks, memory cards, memory sticks or other recordings

of the Material (and all copies thereof) in whatever form, to the Premier League and/or ESDHCL (or any relevant broadcaster). In

addition, ESDHCL reserves the right to eject the Ticketholder from the Stadium in circumstances where they breach this

Section 2.11.

2.12 Mobile telephones and other mobile devices are permitted within the Stadium provided that: (i) they are used for personal and private

use only (which, for the avoidance of doubt and by way of example only, shall not include the capturing, logging, recording,

transmitting, playing, issuing, showing, or any other communication of any Material for any commercial purposes); and (ii) no Material

that is captured, logged, recorded, transmitted, played, issued, shown or otherwise communicated by a mobile telephone or other

mobile device may be published or otherwise made available to any third parties including, without limitation, via social networking

sites.

2.13 Each Purchaser acknowledges and agrees that (and will ensure that any Guest acknowledges and agrees) that any copyright,

database right and all other rights, title and interest in and to all Material that the Ticketholder produces at the Stadium in relation to

the Match, the Stadium and/or any players and other persons present in the Stadium (whether produced in breach of Section 2.11

above, or pursuant to Section 2.12 above, or otherwise) will be assigned, on creation, to ESDHCL and/or the Premier League (or

any relevant broadcaster), including by way of present assignment of future copyright pursuant to section 91 of the Copyright,

Designs and Patents Act 1988. The Ticketholder further agrees (if and whenever required to do so by ESDHCL and/or the Premier

League and/or the relevant broadcaster) to promptly execute all instruments and do all things necessary to transfer the right, title

and interest in such rights to ESDHCL and/or the Premier League (or any relevant broadcaster) absolutely and with full title

guarantee.

2.14 Each Ticketholder is responsible for the security of their belongings and property whilst at the Stadium. Large bags will not be

allowed into the Stadium and ESDHCL does not provide storage facilities for such bags or similar items.

2.15 Save for official Club merchandise and/or other football-related clothing worn in good faith, no Ticketholder shall bring into, use, wear

or display within the Stadium any sponsorship, promotional or marketing materials.

2.16 No Ticketholder shall offer or distribute (either for free or for sale by any person) within the Stadium any consumer article or

commercial product of any nature. For the avoidance of doubt, this Section shall not prevent the lawful distribution of text

publications in any format which do not breach Section 2.11 above where both the content and the publication are lawful in all

respects and do not in ESDHCL’s reasonable opinion constitute a threat to public order.

2.17 ESDHCL reserves the right to refuse admission to, or eject from, the Stadium any person including (but not limited to) anybody who

fails to comply with these Terms and/or the Ground Regulations and/or the Supporter Code of Conduct and any such person shall

become a trespasser immediately upon such failure to comply with these Terms and/or the Ground Regulations and/or the Supporter

Code of Conduct.

2.18 Any attempt by a Ticketholder to gain access to the Stadium wearing or carrying apparel that demonstrates support for any football

team other than ESDHCL may result in admission being refused or that Ticketholder being ejected from the Stadium and in such

circumstances no refund or alternative seat will be offered.

2.19 Before entering the Stadium, the Ticketholder may be asked to undertake temperature checks and/or any other testing regarded as

prudent in order to safeguard against Coronavirus.

2.20 ESDHCL does not guarantee that the team for any particular Match will necessarily only be selected from the Club’s regular First

Team players.

2.21 The issue of Ticket(s) by ESDHCL and subsequent access to the Stadium for Purchasers and Guests is conditional upon the rules

and regulations of the Football Authorities.

3 TICKETHOLDERS WITH A DISABILITY

3.1 A Ticketholder with a disability may be entitled to an additional Ticket for use of a personal assistance or companion (a “PA”) in

accordance with the Club’s “Disabled Supporters Ticketing Policy”, available here: www.evertonfc.com/club/disabled-fans . For the

avoidance of doubt, only access to the Match will be provided free of charge. All other charges associated with a Ticket will be

applicable for the PA’s access and use of the Stadium and facilities.

3.2 The Ticketholder and their PA must attend and gain access to the Stadium together. A PA cannot gain access separately.

3.3 A PA must not attend a Match on their own or with any non-disabled person.. Please note that stewards and other staff will carry out

checks of all tickets. All proven abuses of the disabled supporter’s concessionary scheme will be dealt with severely and may result

in criminal prosecution.

3.4 The Club and ESDHCL are committed to assisting its disabled supporters’ Matchday experience and encourages participation in the

Everton Disabled Supporters Association (“EDSA”). Full information on the EDSA and disabled fan access to Matches at the Stadium

may be found at: www.evertonfc.com/club/disabled-fans and within the Ground Regulations and applicable policies / guidance.

4 PREMIUM FACILITY

Entrance of the Premium Facility

4.1 Access times to the relevant Premium Facility on Match days will be as communicated to the Purchaser.

4.2 ESDHCL reserves the right to alter the access times at its sole and absolute discretion. ESDHCL will use reasonable endeavours to

inform the Purchaser of any such change in advance of this taking effect.

4.3 To gain access to the Premium Facility, the Ticketholder must enter the Premium Facility through the entrance that is communicated

to them. The Ticketholder must scan the Ticket at the correct entrance.

4.4 A Ticketholder must produce the Ticket, together with evidence of their identity, if requested to do so by a member of staff. Failure

to comply with this may result in ejection from the Premium Facility and ESDHCL accepts no liability where the Ticketholder fails to

provide a Ticket.

4.5 Unless authorised by ESDHCL, persons under the age of 18 shall not be permitted to enter or remain in a Premium Facility unless

accompanied by an Adult. ESDHCL reserves the right to refuse admission to, or eject from, the Premium Facility, any person who

cannot prove that they are over 18 who is not in the company of an Adult.

4.6 The Ticketholder shall behave respectfully toward all members of staff, and fellow guests. If, in ESDHCL’s opinion, these standards

are not met, the Ticketholder will be ejected from the Stadium and will not receive any refund and, where any member of ESDHCL

staff deems it reasonable to do so, may be reported to the police.

Dress code

4.7 ESDHCL reserves the right to refuse admission to any person who in ESDHCL’s opinion, acting reasonably, is wearing inappropriate

items of clothing and/or footwear including but not limited to any kit or clothing for any team other than that of the Club and shall be

entitled to require any such person to leave the Premium Facility. In such circumstances, no refund shall be payable.

Catering and refreshments

4.8 Catering shall be provided in the Premium Facility by the Catering Supplier. The Purchaser shall pay ESDHCL for any pre-booked

catering as agent for the Catering Supplier. The Ticketholder may have to pay the Catering Supplier directly for any other catering.

4.9 In all Premium Facilities on Match days, the sale of alcohol will begin at the Premium Facility’s opening time (as specified in that

Premium Facility) and end at kick-off. Drinks service will resume at half-time and cease at the start of the second half. Bars will reopen following full-time for the sale of alcohol for a maximum of 60 minutes after the final whistle. ESDHCL reserves the right to alter

the foregoing times without notice, at its discretion. Times may vary for safety and crowd control purposes and may change on the

instructions of Merseyside Police and the Licencing Authority.

4.10 Ticketholders are prohibited from bringing into the Premium Facility or consuming in the Premium Facilities, any food or drink

(whether alcoholic or otherwise) which has not been provided by ESDHCL and/or the Catering Supplier. Ticketholders shall refrain

from consuming food and drink purchased in the public concourse areas of the Stadium in the Premium Facility.

4.11 The provision of any food or drink (whether alcoholic or otherwise) to any persons in the Premium Facility is conditional upon all

legal restrictions applicable to ESDHCL, the Club and/or the Catering Supplier (including all restrictions imposed by, and any

regulation of, any relevant licensing or other governing body or authority) and the grant of any necessary licences.

4.12 Ticketholders shall consume all alcoholic drinks within the interior of the Premium Facility and not within sight of the Stadium’s pitch.

Where drinks are bought on a consumption basis, spirits and open bottles cannot be returned. Alcoholic drinks cannot be removed

from the Premium Facility.

4.13 Ticketholders shall abide by the Sporting Events (Control of Alcohol, etc.) Act 1985 (the “Act”) (as amended) and by all other

instructions issued by ESDHCL relating to the consumption of alcohol at the Stadium. If a Ticketholder is convicted of an offence

contrary to the Act or fails to comply with any instructions issued by ESDHCL relating to the consumption of alcohol at the Stadium

(and/or ESDHCL reasonably suspects that such an offence has been committed or instructions issued by ESDHCL have not been

complied with) ESDHCL may eject the Ticketholder from the Stadium (if the offence or suspected offence is committed on the day

of a Match).

4.14 ESDHCL reserves the right to refuse to serve alcohol to any Ticketholder in its absolute discretion.

No re-admittance policy

4.15 Save for as set out in clause 7.6, there is no re-admittance to the Stadium under any circumstances. Movement between the Premium

Facility and any other Premium Facilities at the Stadium is not allowed, save where permitted by ESDHCL in its absolute discretion.

No public statements

4.16 Ticketholders are not permitted to make any public statement, announcement, declaration, or carry out or be associated with any

promotional activity of whatever nature which, expressly or impliedly, refers to a relationship between: (i) the Ticketholder or third

party associated with the Ticketholder; and (ii) the Club, ESDHCL and/or any affiliated company, including Everton in the Community.

Alternative Premium Facility

4.17 ESDHCL reserves the right, acting in its sole and absolute discretion, to move a Ticketholder to an alternative Premium Facility

within the Stadium if required for operational or other reasons (including: (a) health and safety requirements; (b) the need for repairs

or alteration to be made to the Premium Facility or any fixtures or fittings therein and such repairs or alterations are in ESDHCL’s

opinion necessary or desirable; or (c) any other circumstances at ESDHCL’s discretion). ESDHCL will use reasonable endeavours

to inform the Purchaser of any move in advance of the Match in question and, if the alternative Premium Facility would normally cost

the Purchaser less than the Premium Facility, ESDHCL will offer the Purchaser a pro-rata refund of the difference in price between

the alternative Premium Facility and the Premium Facility.

5 THE DATES AND TIMES OF MATCHES

5.1 Save as set out in clauses 5.5 and 14, no refunds will be made in respect of Matches not attended, postponed, abandoned, delayed

or rescheduled to accommodate live television coverage or for any other reason.

5.2 No refunds will be granted where ESDHCL has cancelled a Ticket as a result of the Purchaser and/or their Guest(s) breaching these

Terms.

5.3 No guarantee is given by ESDHCL that any Match will take place at a particular time or on a particular date. The Club, ESDHCL

and/or the relevant Football Authority reserves the right from time to time to reschedule any Match without notice (including the date

and/or the kick-off time), including to accommodate live television broadcasts and/or cup competition fixtures. A Ticket for a Match

that is re-arranged shall provide the Ticketholder entry to the re-arranged Match (unless such Ticket is refunded under clause 5.5).

5.4 Save as set out in clause 5.5, ESDHCL will have no liability whatsoever in relation to any costs incurred by the Ticketholder in relation

to travel, accommodation or other related expenses arising out of or in connection with any postponed or abandoned Match or any

rearranged fixture.

5.5 Without prejudice to clause 14, in the event that a Match covered by the Ticket is postponed, abandoned, cancelled or delayed and

not subsequently re-arranged, the Purchaser of that Ticket will be entitled to a refund.

6 BRINGING A GUEST

6.1 Save as expressly set out in these Terms, Ticket(s) cannot be exchanged or transferred.

6.2 Ticket(s) are for the Ticketholder’s sole use. Save as set out in this clause 6 and/or with the express authorisation provided by

ESDHCL to its official resellers, the Purchaser shall not resell, assign or transfer their Ticket(s) (or the benefit of it or them) to any

other person without the prior written consent of ESDHCL. References in these Terms to reselling a Ticket include offering to sell a

Ticket, exposing a Ticket for sale, making a Ticket available for sale by another person and/or advertising that a Ticket is available

for purchase. For the avoidance of doubt (and by way of example only), a Ticket may not be offered as a prize in any promotion or

competition or transferred, lent or sold to any third party as part of a hospitality or travel package, given to a third party who agrees

to buy another good or service or used for any other commercial purpose save as expressly authorised by the Club and/or any

regulatory authority.

6.3 A Purchaser may gift a Ticket to (or purchase on behalf of) any natural person (each a “Guest”) provided that:

a) such gift is not for any monetary value or equivalent benefit in excess of the price of the Ticket;

b) it is for the Guest’s personal use only;

c) the Guest does not pose, in ESDHCL’s opinion, risk to the safety of themselves or others or a risk of reputational damage;

and

d) any donation does not take place during the course of any business or for the purpose of facilitating any third party’s business

(other than to the extent that you are a business customer and are using the additional Ticket(s) for corporate hospitality

purposes only, which are not, of themselves, a core activity of your business).

6.4 Purchasers are not permitted to use Ticket(s) as gifts or prizes in any competitions or other promotional activities of whatever nature

without ESDHCL’s prior written permission, to be given or withheld in its absolute discretion.

6.5 Any transfer of a Ticket by the Purchaser to any Guest will be made in accordance with these Terms and the Ground Regulations

which will (save for any rights to transfer under this clause 6 or any rights or obligations specific to the Purchaser rather than a Guest)

apply to and bind that Guest as if they were the original purchaser of the Ticket. The Purchaser must inform the Guest of this and

ESDHCL shall hold the Purchaser responsible if the Purchaser fails to so notify each Guest. The Purchaser must provide the name

and address of each Guest(s) when asked to do so by any official, steward or employee of the Club or any police officer.

6.6 The unauthorised sale, transfer or disposal of a Ticket (either as a whole or for a particular Match or Matches) may amount to a

criminal offence under section 166 of the Criminal Justice and Public Order Act 1994, as amended by the Violent Crime Reduction

Act 2006, and such sale or disposal is also illegal under the terms of section 2 of the Fraud Act 2006. ESDHCL will inform the police

when it becomes aware that a Ticket has been sold or disposed of illegally and will press for charges to be brought against those

breaking the law. Where ESDHCL or the Club suspects the Purchaser or Ticketholder has breached this clause 6.6 or allowed this

clause 6.6 to be breached, ESDHCL shall any such actions that it deems appropriate

7 SEATS

7.1 No Ticket shall provide the Ticketholder with title to the seat specified or any other seat in the Stadium.

7.2 The Ticketholder must occupy the seat allocated to the Ticketholder by the Ticket, unless notified by ESDHCL that the Ticketholder

must sit in a different seat in accordance with clause 7.3 below.

7.3 ESDHCL reserves the right, in its sole discretion, to allocate to the Ticketholder an alternative seat anywhere in the Stadium, including

but not limited to:

7.3.1 when the stand or part of the stand in which the seat is allocated is closed for repairs, maintenance or re-build;

7.3.2 to comply with the requirements of any Football Authority;

7.3.3 when ESDHCL, the police or any other relevant authority or Football Authority otherwise considers it desirable in the interests

of safety, crowd control or other ESDHCL requirements to re-allocate the seat; or

7.3.4 where ESDHCL deems it reasonable to do so.

7.4 ESDHCL will use reasonable endeavours to ensure that such alternative seat is of at least equal value to the original seat but if the

alternative seat is of lower value then ESDHCL will pay to the Ticketholder a refund equal to the difference in the price of the seats.

7.5 The Ticket admits the Ticketholder to such areas within the Stadium and at such times as notified to the Purchaser during the order

process and as ESDHCL may from time to time determine and in accordance with these Terms and the Ground Regulations.

7.6 The Ticketholder is not entitled to re-enter the Stadium if they leave the Stadium at any time on a Match day, except where ESDHCL

expressly approves such re-entry. ESDHCL will only give such approval where the Ticketholder had a compelling reason to leave

the Stadium in the first instance (for example, reasons of medical emergency).

7.7 ESDHCL shall have no liability to the Ticketholder for any interruptions and/or restrictions to the Ticketholder’s view of any Match

and/or any impact on their enjoyment of any Match which in each case is caused by either the position of their allocated seat and/or

other ticket holders in the Stadium.

8 REPAIRS AND MAINTENANCE

8.1 ESDHCL will be responsible for carrying out all repairs and maintenance (including ordinary cleaning and rubbish removal) to the

Stadium provided that ESDHCL will not accept liability for, and shall not be in breach of its obligations by reason of, any breakages

or defects to any part of the Stadium which are the result of fair wear and tear or are caused by the Ticketholder’s acts or omissions.

Notwithstanding the foregoing, ESDHCL will not be liable for and will not be in breach of its obligations by reason of any breakages

in, or defects to, any part of the Stadium if, pursuant to clause 7.3 or otherwise, it provides the Ticketholder with an alternative seat

(or seats) at the Stadium.

8.2 ESDHCL has the right to charge the Purchaser for the cost of repairs, maintenance, replacement or cleaning of any part of the

Stadium (including the Premium Facility), or any fixtures or fittings therein, resulting from any act or omission of the Purchaser or

their Guest other than as a result of fair wear and tear.

8.3 The Purchaser agrees to indemnify ESDHCL against the cost of repairs, maintenance, replacement, and/or cleaning of the Stadium

(including the Executive Lounge), and/or any fixtures or fittings therein, resulting from any act or omission of the Purchaser and/or

their Guest(s), other than as a result of fair wear and tear.

9 BREACH OF THESE TERMS AND/OR THE GROUND REGULATIONS

9.1 No refunds will be made in respect of Matches not attended or in any circumstance where ESDHCL has cancelled a Ticketholder as

a result of the Purchaser and/or their Guest(s) breaching these Terms.

9.2 The Purchaser shall procure compliance by their Guests with these Terms and/ or the Ground Regulations. If any Guest breaches

these Terms and/or Ground Regulations, the Purchaser and such Guest shall both be individually and collectively liable to ESDHCL.

9.3 Any Ticket obtained or used in breach of these Terms and/or the Ground Regulations shall be automatically void and all rights

conferred or evidenced by such Ticket shall be immediately cancelled. If a Ticketholder seeks to use a Ticket in breach of these

Terms and/or the Ground Regulations in order to gain entry to the Stadium or remain at a Match, the Ticketholder shall be a

trespasser and may be refused entry to, or ejected from, the Stadium in respect of a particular Match.

9.4 Any misconduct by a Ticketholder in a manner which ESDHCL considers is detrimental to its interests or is likely (in the reasonable

opinion of ESDHCL) to bring football, ESDHCL or the Club into disrepute, shall permit ESDHCL to: (i) confiscate or forfeit (in each

case without compensation) the Ticket(s); and/or (ii) ban the Purchaser from attending future Matches or other events at the Stadium

for such period of time as ESDHCL deems appropriate.

9.5 Racial, homophobic, transphobic, sexual, sectarian, racial, discriminatory or otherwise offensive abuse, chanting or harassment is

strictly forbidden and will result in arrest and/or ejection from the Stadium. If a Ticketholder abuses any football player, supporter,

member of staff or any other individual in or around the Stadium, the Ticketholder will face arrest and prosecution by the police.

ESDHCL reserves the right to impose a ban on the Purchaser. Any person receiving an official caution or found guilty in a court of

law of an offence involving racist, homophobic or sectarian behaviour or abuse against any spectator, official or player will be banned

from all future football matches at the Stadium.

9.6 The following actions shall constitute a serious breach of these Terms:

9.6.1 Smoking (including electronic cigarettes and all other electronic smoking devices) which is banned in all areas of the Stadium;

9.6.2 being (or appearing to be) intoxicated whilst attending the Stadium;

9.6.3 persistent standing in seated areas whilst play is in progress;

9.6.4 the sale or transfer (save as permitted) or attempted sale or transfer of a Ticket to any person;

9.6.5 the deliberate misuse of a Ticket;

9.6.6 the possession of a banner or flag that bears material or slogans that are offensive, obscene, abusive or racist;

9.6.7 the throwing of any object within the Stadium that may cause injury or damage to people or property without lawful authority

or excuse;

9.6.8 the use of foul, abusive, offensive, racist, homophobic, transphobic and/or sectarian language and/or gestures;

9.6.9 the chanting of anything of an offensive, indecent, racist, sexual, homophobic, transphobic or sectarian nature;

9.6.10 fighting, or engaging in and/or inciting violence;

9.6.11 bringing any of the following into the Stadium (or using them within the Stadium): fireworks, flares, smoke canisters, smoke

bombs, laser devices, air horns, knives, bottles, glass vessels, cans, poles, illegal drugs/substances and any article that

might be used as a weapon and/or compromise public safety;

9.6.12 entering the playing area or any adjacent area to which spectators are not generally admitted without lawful authority or

excuse; and

9.6.13 any failure to pay or default of payment in respect of any sums owing to ESDHCL (or any third party) in respect of any Ticket.

9.7 In addition to clauses 9.1 to 9.6, in the event that a Ticketholder is in breach of these Terms and/or the Ground Regulations, ESDHCL

may:

9.7.1 report the matter to the Premier League (who in turn may notify other Premier League clubs) and/or the UK Football Policing

Unit and/or any other Football Authority; and/or

9.7.2 report the matter directly to the police and/or take legal action.

9.8 The Purchaser (and any Guest) also acknowledges that a Ticketholder may face action from the police in the event of certain of

these breaches which may, among other things, render the Ticketholder liable to a fixed penalty fine and/or criminal prosecution.

9.9 Any Guest, acting alone or with others, whose conduct, or incitement of others, results in disciplinary or legal action against ESDHCL

or the Club by any Football Authority or any relevant law enforcement authorities, shall be both individually responsible and liable,

and collectively responsible and liable with the Purchaser, to ESDHCL and the Club for any loss the Club and/or ESDHCL thereby

suffers. The Guest shall also be both individually responsible and liable, and collectively responsible and liable with the Purchaser,

to the Club and ESDHCL for any loss the Club and/or ESDHCL suffers as a result of the behaviour of a third party gaining access

to the Match using the ticket with the Ticketholder’s permission.

9.10 No refund shall be provided to the Purchaser for any Match during which the Purchaser and/or a Guest is ejected from the Stadium

(or rejected from entering the Stadium) pursuant to these Terms and/or the Ground Regulations.

9.11 If a Ticket(s) is cancelled, withdrawn, suspended or terminated early by ESDHCL in accordance with these Terms and/or the

Ground Regulations, no refund shall be payable by ESDHCL to the Purchaser for any amount.

9.12 In the event that ESDHCL decides to cancel a Ticket and/or issue a Ticketholder or Purchaser with a Stadium ban, the Ticketholder

or Purchaser shall have the right to appeal this decision in writing to the Club’s Head of Legal Services within seven days of the

date of notification of the decision. Such appeal shall include all evidence on which the Ticketholder or Purchaser wishes to rely.

10 UNDERTAKINGS

10.1 The Ticketholder shall at all times during the Term:

10.1.1 use any Ticket in a proper and lawful manner and not so as to cause any nuisance, annoyance or inconvenience to the Club,

ESDHCL or any other person (including any other spectators or visitors to the Stadium or local residents) or to render void or

voidable, in part or in whole, any insurance maintained by the Club or ESDHCL in respect of the Stadium; and

10.1.2 ensure that no part of the Stadium to which the Ticketholder may be granted access is damaged (fair wear and tear excepted).

11 EXCLUSION OF LIABILITY FOR CUSTOMERS

11.1 ESDHCL does not exclude or limit in any way its liability to the Purchaser and/or any Ticketholder where it would be unlawful to do

so. This includes liability for death or personal injury caused by ESDHCL’s negligence or the negligence of its employees, agents

or subcontractors; for fraud or fraudulent misrepresentation or for breach of a consumer’s legal rights in relation to the Ticket.

11.2 In addition to clause 11.1, nothing in this Agreement will exclude or limit ESDHCL’s liability to the Purchaser and/or any Ticketholder

in respect of:

11.2.1 any liability incurred under section 2(3) of the Consumer Protection Act 1987 (defective products); and

11.2.2 any other matter for which for which it is not possible to exclude or limit liability under section 57 of the Consumer Rights Act

2015.

11.3 If ESDHCL fails to comply with these Terms, ESDHCL will only be responsible for any loss or damage that the Purchaser and/or

any Ticketholder suffers as a foreseeable result of ESDHCL’s breach of these Terms and/or our negligence. ESDHCL will not be

responsible for any loss or damage which is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen

or if, at the time the contract was made, both we and you knew it might happen at the time that the Purchaser purchased the Ticket.

11.4 Except as otherwise set out in these Terms, and without affecting clauses 11.1 and clause 11.2, ESDHCL shall not have any liability

to the Purchaser and/or any Ticketholder in respect of any failure to carry out, or any delay in carrying out, any of ESDHCL’s

obligations under these Terms, including admitting a Ticketholder for a particular Match or providing the Purchaser with their

Ticket(s), which is caused by any circumstances which are outside of ESDHCL’s control provided always that ESDHCL will contact

the Purchaser as soon as possible to let them know and will take steps to prevent or minimise the delay or failure.

11.5 ESDHCL provides the Ticketholder with the Ticket(s) for their domestic and private use and the Ticketholder agrees not to use the

Ticket for any commercial or business purposes, and on this basis ESDHCL has no liability to any person using the Ticketholder’s

Ticket(s) other than for their domestic and private use for any loss of profit, loss of business, business interruption, or loss of

business opportunity.

11.6 ESDHCL will not be liable to a Ticketholder and/or Purchaser for any loss, theft, or damage to any of their personal articles which

are left or displayed in the Stadium, other than where such loss, theft, or damage results from the negligence or any other breach

of duty by ESDHCL.

11.7 Nothing in this Agreement is intended to affect the statutory rights of the Ticketholder. Advice about the Ticketholder’s statutory

rights is available from the Ticketholder’s local Citizens’ Advice Bureau or Trading Standards office.

11.8 Subject to clause 11.1 and clause 11.2 , ESDHCL and the Club’s liability to the Ticketholder and/or Purchaser shall not exceed the

amount paid by the Purchaser to ESDHCL for the Ticket.

12 DATA PROTECTION

12.1 ESDHCL is committed to protecting the privacy of all Ticketholders. Any personal data that the Ticketholder provides will be used

in accordance with the Club’s privacy policy, a copy of which can be found on the Website

(http://www.evertonfc.com/functional/privacy/everton-football-club) or is available upon request from the Everton Box Office.

12.2 ESDHCL may share the information (including personal data) of any Ticketholder with the Merseyside Police in order to prevent

and reduce crime and/or to assist the police in investigating and/or prosecuting offenders or suspected offenders.

12.3 If a Ticketholder is convicted of a ticket touting offence, or ESDHCL reasonably suspects that the Ticketholder has committed such

an offence, ESDHCL will notify the Premier League who may in turn notify other football clubs, Football Authorities, event holders

and/or the relevant law enforcement authorities. The information that ESDHCL shares may include the Ticketholder’s personal

data, information about the offence and about ticket purchases (including payment details). ESDHCL will use this to identify and

prevent ticket touting offences and disorder at matches.

13 THE TICKETHOLDER’S LIABILITY

13.1 The Purchaser and/or any Ticketholder shall be responsible for, and liable to, ESDHCL for any and all costs, expenses, damages

and losses of whatever nature, however incurred or suffered by ESDHCL (whether directly or indirectly) which arise as a result of:

13.1.1 any breach of EFC’s policies in place from time to time as available on the Club’s website;

13.1.2 a failure by a Ticketholder to pay any sums due to ESDHCL or the Catering Supplier;

13.1.3 an act or omission by a Ticketholder that causes damage to the Stadium (including the Premium Facility), other ESDHCL or

Club property, or Club or ESDHCL employees, with the exception of damage which is caused by either reasonable wear and

tear or a defective product; and

13.1.4 any material breach of this Agreement by a Ticketholder and/or the Purchaser, and the Purchaser shall be jointly responsible

for, and liable to, ESDHCL (with the Guest) if their Guest is responsible for causing any of the foregoing costs, expenses,

damages and/or losses.

14 CORONAVIRUS EVENT

14.1 If, due to a Coronavirus Event, ESDHCL is prevented from carrying out any of its obligations under this Agreement (including for

the avoidance of doubt, permitting Ticketholders to attend the Stadium for Matches):

14.1.1 ESDHCL will contact the Purchaser and/or Ticketholder as soon as reasonably practicable after becoming aware of

a Coronavirus Event;

14.1.2 ESDHCL’s obligation to provide the benefits, facilities and services specified in this Agreement and to the Ticketholder will

be suspended for as long as the Coronavirus Event continues;

14.1.3 ESDHCL will explore and consider in good faith what remedies and options it may reasonably be able to offer to enable the

Purchaser and/or Ticketholder to benefit from the Ticket and the benefits and services granted thereunder and may offer

such remedies or options to the Purchaser and/or Ticketholder in full and final satisfaction of any obligations or liabilities it

has to such Purchaser and/or any Ticketholder under this Agreement;

14.1.4 notwithstanding clause 14.1.3, the Purchaser of that Ticket will be entitled to:

a) where any Match is postponed, attend that Match on the new date for that Match provided always that the Coronavirus

Event does not require any rearranged Match to be played without supporters or with a reduced capacity in the Stadium; or

b) where the Ticketholder cannot attend a Match or Matches covered by the Ticket:

i. a refund; or

ii. to such other remedy or compensation as ESDHCL may reasonably offer in view of the diminished value of the Ticket

over the period during which the Coronavirus Event continues; and

14.1.5 ESDHCL shall not otherwise be in breach of this agreement nor liable for delay in performing, or failure to perform, any of its

obligations under this Agreement if such delay or failure result from a Coronavirus Event.

15 OTHER IMPORTANT TERMS

15.1 If any clause (or part of a clause) is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable

or illegal, the other clauses shall remain in force.

15.2 The failure of ESDHCL to exercise or enforce any right conferred on ESDHCL by this Agreement shall not be deemed to be a

waiver of any other rights, powers or remedies, or the exercise or enforcement of any right, power or remedy available to ESDHCL

at that time.

15.3 Save for the Club and Catering Supplier, nothing in this Agreement is intended to confer a right or remedy on any person who is

not a party to this Agreement.

15.4 This Agreement constitutes the entire agreement between the Ticketholder and ESDHCL in relation to the subject matter, and

replaces and extinguishes all prior agreements, promises, assurances, warranties, representations and understandings of any

nature between the Ticketholder and the ESDHCL, whether oral or written, in relation to that subject matter. The Ticketholder

acknowledges that in entering into this Agreement, it has not relied upon any oral or written statements, collateral or other

warranties, assurances, undertakings, or representations that were made by or on behalf of ESDHCL in relation to the subjectmatter of this Agreement at any time before its acceptance of this Agreement (together, “Pre-Contractual Statements”), other than

those that are set out expressly in this Agreement. The Ticketholder hereby waives all rights and remedies which might otherwise

be available to the Ticketholder in relation to such Pre-Contractual Statements (although, nothing in this section shall exclude or

restrict the liability of the Ticketholder or ESDHCL arising out of pre-contract fraudulent misrepresentation or fraudulent

concealment).

15.5 The Ticketholder shall not be entitled to use any of ESDHCL’s or the Club’s intellectual property (including but not limited to the

marks, logos, names, brands, images or photos relating to the Club, the Club’s first team players or the Stadium) in any promotions,

advertising or marketing material without obtaining the Club’s prior written consent.

15.6 Each right or remedy of ESDHCL under this Agreement is without prejudice to any other right or remedy of ESDHCL whether under

these Terms or not.

15.7 This Agreement is governed by the laws of England and Wales. This means that any dispute or claim arising out of or in connection

with this Agreement will be governed by, and construed in accordance with, the laws of England and Wales.

15.8 ESDHCL may transfer its rights and obligations under this Agreement to another organisation. ESDHCL will notify the Purchaser if

this happens and will ensure that the transfer will not affect the Purchaser’s rights under the Agreement.

16 CHANGES TO THESE TERMS & CONDITIONS

16.1 ESDHCL may change or add to these Terms for security, operational, legal or regulatory reasons at any point, provided that:

16.1.1 ESDHCL shall give the Purchaser at least one week’s notice of any changes or additions; and

16.1.2 ESDHCL will not use this right to vary the main rights granted to the Purchaser under these Terms.

17 ABOUT ESDHCL, THE CLUB AND CONTACT DETAILS

17.1 Tickets are sold by ESDHCL. ESDHCL is a group company of the Club, registered in England with company number 10719054

and having its registered office at the Goodison Park, Goodison Road, Liverpool, Merseyside L4 4EL, with Head Office at Royal

Liver Building, Floor 7, Liverpool Waterfront, Liverpool, L3 1HU, and VAT registration number GB 285 6229 72.

17.3 Any complaint notified to ESDHCL using the contact details set out in clause 17.2 will be acknowledged within 72 hours and replied

to in full within 10 working days.
